Other than certain distribution forms and software available on or through the Site, all materials found on the Site are the property of Abacus ("Abacus Materials"), are protected by federal and worldwide copyright laws and treaty provisions and Abacus retains all copyrights to Abacus Materials. You may download one copy of the Abacus Materials on a single computer for your personal, non-commercial internal use only, unless specifically licensed to do otherwise by Abacus in writing. Any failure by Abacus to enforce any term or provision of this Agreement shall not constitute a waiver of a future breach of that or any other term or provision of this Agreement.

Abacus expressly disclaims, to the fullest extent permitted by applicable law, any liability with respect to the information provided or any user's use or inability to use the information provided on the Site or any delays in providing the information or any inaccuracies, errors or omissions in the information. Abacus hereby disclaims all warranties, including but not limited to implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or warranties arising from a course of dealing or custom of the trade.

- Applicable Law
The Site is owned and controlled by Abacus from its offices within Rhode Island. Those who choose to access the Site from other locations are responsible for compliance with applicable local laws. You may not use or export the any materials available on the Site in violation of United States export laws or regulations. Any dispute relating to the Site shall be governed by the laws of the of Rhode Island and subject to final and binding arbitration, by a single arbitrator, administered by the American Arbitration Association nearest Abacus' main offices in Rhode Island. The arbitrator shall award to the prevailing party all costs and disbursements, including reasonable attorneys, incurred in connection with the enforcement of this Agreement.
